CONSTITUTION MEMORANDUM
AND RULES VIDARBHA CRICKET ASSOCIATION NAGPUR
GENERAL
Article - 1
1)
The Constitution shall be called "The Constitution of the Vidarbha Cricket
Association" and will come into force from the date it is passed by the
General Body of the Association.
2)
The Association shall be called the "Vidarbha Cricket Association"
(hereinafter referred to as the "Association"). The area under its
jurisdiction and regulation shall be all the districts of Vidarbha in the State
of Maharashtra and such other areas permitted by the Board of Control for
Cricket In India.
3)
The Headquarters and the Office of the Association shall be at the Association
premises Civil Lines, Nagpur.
4)
The Vidarbha Cricket Association shall be affiliated to the Board of Control
for Cricket in India.
5)
The financial year of the Association shall be from 1st of April to 31st of
March inclusive of both days (The first year after this Constitution is
approved may be a fraction of a financial year).
AIMS AND OBJECTS OF THE ASSOCIATION
Article - 2
The
aims and objects of the Association shall be as Follows:
1)
To encourage Cricket in the area under its territorial jurisdiction.
2)
To encourage bonafide Cricket Clubs in promoting Cricket activities.
3)
To facilitate and provide conditions for training and encouraging promising
players.
4) To
arrange, promote, regulate and control cricket tournaments in the area within
the jurisdiction and to arrange or participate in the Inter-State, Zonal,
International and other matches as per the programme approved by the Board
Control for Cricket In India.
5) To undertake schemes and projects to keep the
Association In Sound financial position by employing lawful means.
6) To undertake schemes and projects for cricket
education, study and research.
7) To seek Cooperation from and to extend
Cooperation to other sports, social and Government organisations, to fulfill
the Association's aims and objects and participate in socially useful causes
for creating goodwill for the Association.
8) To
acquire by lawful means immovable and movable properties for the purpose of the
Association and to apply both the capital and the income thereof and the
proceeds of the sale or mortgage thereof towards or any of the objects of the
Association.
9) To manage, sell, mortgage, lease, exchange,
dispose of or otherwise deal with all or any of the properties of the
Association.
10)
To Take up necessary construction works at the Association Grounds.
11) To run and manage a Sports recreation club
12)
Generally to do all other acts and things as may seem to the Association to be
conducive to the carrying out of the aims and objects of the Association.
ΜΕΜΒΕRSΗΙΡ
Article - 3
Eligibility
Any
person who (i) has attained the age of 18 years (ii) has not been convicted for
an offence under Indian Penal Code involving moral turpitude by any court in
India (iii) has not been declared insolvent by any court in India and (iv)
agrees with the aims and objects of the Association and is prepared to abide by
the Rules, Regulations framed by the
Association may apply for admission as member in any of the following
Categories of membership of the Association:
1) Patron:- A person who pays a sum of Rs.
50,000/- and above to the Association.
2) Life Member:-A person who pays a sum of Rs. 10,000/- as membership fees to the
Association.
3) Any person
who has represented the Association as a playing member of its Ranji Trophy
Team, and has retired from first class cricket can apply for membership in this
Category of members.
(Provided that any ordinary member who is on the
rolls of the association shall continue to be such member under the new constitution
also. Provided that their shall be no new members in the category of ordinary
members)
4) Each year the total number of available
membership should be filled up in the following manner.
i) 20% from the players who have played Ranji Trophy
for the Association.
ii)
20% from the wards of the deceased member.
iii)
20% Officials, Umpires and persons who have rendered services to the Association.
iv)
40% from General Category.
Provided that international players (Men &
Women) hailing from the jurisdiction of the Association, shall be granted
automatic membership after they retire from competitive cricket.
If
eligible applicants from any of the first three categories are not available,
it shall be the sole discretion of the Executive Committee to enroll the
members from any of the other categories over and above the number prescribed
as per the norms stated above.
5) Any person eligible to apply in any of the
above Categories of membership shall apply in the prescribed form provided by
the Association which shall be accompanied by the sum prescribed for admission
and shall apply within the period from 1st of January to 31st of March each
year. No application received before or after this period shall be entertained.
6)
The Executive Committee shall accept or reject any such application on or
before 30th of April of the same year without assigning any reason and its
decision shall be final and binding on the applicant. It shall be the sole
discretion of the Executive committee to admit any person as member of the
Association.
7)
If rejected, the Executive Committee shall refund the actual amount paid by the
applicant by cheque on or before 10th of May of the same year.
HONORARY LIFE-MEMBERS
Article - 4
The
General Body of the Association shall have the powers to elect any
distinguished cricketer or a person which in its opinion, has rendered
meritorious services to the Association and who fulfills the eligibility
conditions for the membership of the Association, as Honorary Life Member of
the Association and shall have the right to vote. The total number of Honorary
Life Members on the rolls of the Association shall not be more than three at
anytime.
Article 5
The Executive Committee shall comprise of 9 members
of whom 5 shall be the elected Office Bearers as per Article 13 and the
remaining 4 shall be:
a) One additional member to be elected by the
Members of the Association from among their representatives;
b) Two, one male and one female, to be nominated by
the Cricket Players’ Association from amongst those of its members who hail
from the region which is the jurisdiction of the Association;
c) One to be nominated by the Accountant General of
Maharashtra.
(Cricket Players’ Association refers to the Cricket
Players’ Association as per the BCCI Constitution)
CLUBS
Article - 6
Any
bonafide Cricket club situated
within the jurisdiction of the Association can apply for affiliation to the Association in the prescribed form
provided by the Association within the period of 1st January to 31st March of
the year. Any such application shall be considered by the Executive Committee
only, if-
1)
The club has participated in at least one tournament conducted by the
Association for at least three years prior to the date of application and has
conducted net practice regularly.
2)
It provides a suitable Cricket ground under its control and agrees to allow its
use to the Association for conducting any of its activities on terms and
conditions laid down by the Association from time to time.
3)
It submits its Constitution along with the names and addresses of the office
bearers and agrees to report to the Association about any change that takes
place in its working and elections of the office bearers.
4)
It agrees to participate in at least any one of the tournaments conducted by
the Association in the subsequent years.
5)
It pays a sum of Rs.1,000/- as admission fees and Rs. 100/- as annual Subscription
along with the application.
The
Executive Committee shall accept or reject any such application for affiliation
without assigning any reason on or before 30th of April of the same year and
the decision of the Executive Committee shall be final and binding on the
applicant club. Even if the application is accepted and affiliation granted,
its affiliation is subject to cancellation if the club violates any one
condition laid down by the Association for its affiliation (Nos. 1 to 5), in
the subsequent years.
In
case of mofussil Clubs, the Executive Committee shall have powers to review
condition Nos. 1 and 2 and to give proper consideration to the circumstances
prevailing in the area.
If rejected, the Executive Committee shall
refund the actual amount paid by the applicant, by cheque, on or before 10th of
May of the same year.
MOFUSSIL CLUBS
Article -7
A
Mofussil Club means a Club situated outside a radius of twenty kilometers from
the area under the jurisdiction of the Municipal Corporation of the City of
Nagpur. All District Cricket activities shall be conducted by the Association
through The District Committee appointed by the Executive Committee.
REGISTER OF NAMES OF MEMBERS AND
AFFILIATED CLUBS ON ROLLS
OF THE ASSOCIATION:
Article - 8
The
Association shall maintain proper register wherein the names, postal addresses,
photographs and signatures of the members shall be entered. Each member on
rolls of the Association shall be issued an Identity Card and will have to
produce it for purposes required from time to time as and When the Executive
Committee asks for the same for Verification.
Names
of the clubs and their office-bearers with postal addresses shall be maintained
separately. Whenever there is a change in the names of the office-bearers of
the clubs, the clubs shall be responsible for submitting the changed report to
the Association. In case no such report is received, the names of the
Office-bearers of the club on record shall be considered as proper for
Association purposes.
ANNUAL SUBSCRIPTION
Article - 9
The
financial year of the Association shall be from 1st of April to 31st of March.
The Annual subscription shall be paid by the affiliated club on or before 30th
of May every year. A Club failing to make the payment on or before 30th of May
shall automatically Cease to be a member and the name of the affiliated club shall
be struck off the rolls of the Association.
Note - Clubs affiliated and enrolled before
the enforcement of these rules shall have the option of paying annual
Subscription at the rate in force at the time of their affiliation or
enrolment. Article 12 shall also not apply to them.
GENERAL BODY MEETINGS OF THE
ASSOCIATION
Article - 10
The
General Body of the Association shall consist of its Patrons, Honorary Life
Members, Life Members and one representative from each affiliated Club.
The
General Body shall be the Supreme Body of the Association and shall have powers
to give directions to the Executive Committee and other Bodies of the
Association to frame rules under the Constitution or alter, amend, add or
remove any rule or rules framed by any Body of the Association.
The General Body Shall nominate any member at the
Annual General Meeting to represent the Association at all the meetings of the
Board of Control for Cricket in India, provided that such a nominee is not
disqualified as per Article 12. The Term of the Nominee shall be three years
and shall be Co-terminus with that of the Executive Committee and such nominee
cannot be removed or changed during the term of three years except by the
General Body for valid reasons or if he / she becomes disqualified as per
Article 12.If such nominee is not an Office Bearer or Member of Executive
Committee, he / she may be invited to attend meetings of the Executive
Committee but shall not be entitled to vote at meetings of the Executive
Committee.
The General Body if it deems fit, may form other
committees to guide / advise the executive committee on various matters
provided that none of the members of such other committees are disqualified as
per Article 12.The term of such other committees shall be decided by the
General body and shall not be more than three years at a time. The members of
such other committees who have been on the committee for a cumulative period of
nine years shall be ineligible for appointment to the committee. The role of
the advisory committee shall be to guide the Executive Committee on matters
which are important for the proper functioning of the Association. The
executive committee shall seriously consider the suggestions of the advisory
committee but they shall not be binding on them, but the suggestions shall not
be rejected without valid reasons recorded in writing in the Executive committee
meeting held for this purpose.
Annual
General Body meeting shall be held on Saturday/Sunday of the 1st Week of December every year. The meeting will
transact the following business:
(Provided that the First Annual General Meeting in
which the elections are to be held under this Constitution may take place
before/after the scheduled date as provided above but that will in no way
affect the term of the Committees/Selectors and the next elections/Annual
General Meetings shall be necessarily in the first week of December as provided
above.
1) To
confirm the Minutes of the Annual General Meeting and any Special General Body
Meeting held during the previous year.
2) To
receive and discuss the report of the activities of the Association as
presented by the Secretary.
3) To
receive and discuss the audited statement of the accounts of the previous year
presented by the Treasurer.
3A)
To appoint Ombudsman and Ethics Officer for the ensuing year.
4) To
consider, pass or reject any resolution presented by a member of the General
Body, provided the resolution is received in writing by the Secretary or in his
absence by the President, at least 72 hours before the meeting is being held.
5) To
discuss any other matter with the permission of the Chairman.
In the Election year, the Annual General Body
shall meet consecutively for two days e.g. On Saturday and Sunday. That year on
the first day besides the above Agenda the meeting shall appoint Auditors for
the next three financial years.
On
the next day, only the Elections of Office-bearers, members of the Executive
Committee and Members of the Selection Committee Shall be held.
Not less than 15 days notice of the date of
the Annual General Meeting and not less than 10 days notice of the date of the
Special General Body Meeting shall be given to all the eligible members of the
Association.
Notice of Meeting and that of the Agenda to
be transacted therein shall be given by the Secretary to all the Office-bearers
and Members of the Executive Committee, Members of the Association and Secretaries
of the Affiliated Clubs under Certificate of Posting or by Email. A notice
shall also be published in one English and in one vernacular newspaper having
reasonable Circulation in Vidarbha.
The quorum for the Annual General Meeting
shall be 100 members. No business shall
be transacted unless the requisite quorum is present at the commencement of the
meeting. In case the quorum is not
available at the time specified for starting the meeting, the meeting shall be
adjourned for 30 minutes and even if after 30 minutes no quorum is available
the meeting shall be held with the members present.
Article - 11
A
Special General Body Meeting shall be called by the Secretary on a resolution
adopted by the Executive Committee or on a written resolution submitted to the
Executive Committee by not less than 1/6th (One Sixth) of the combined number
of members and Affiliated Clubs, specifying the object and agenda for the said
meeting. The Secretary shall convene the meeting within 30 days of the date of
receipt of such a requisition and the meeting shall transact only the Agenda
mentioned in the notice.
The quorum for the Special General Meeting
shall be 100 members. No business shall
be transacted unless the requisite quorum is present at the commencement of the
meeting. In case the quorum is not
available at the time specified for starting the meeting, the meeting shall be
adjourned for 30 minutes and even if after 30 minutes no quorum is available
the meeting shall be held with the members present.
Article – 12
Only members or representatives of Affiliated Clubs shall
be eligible to contest post of an Office-Bearer or a Member of the
Executive/Managing Committee.
A member or representative of the affiliated club or
selector against whom a disciplinary action is taken and is under suspension or
expulsion shall not have a right of vote or shall not be eligible to contest at
any election of the Association during the period of such suspension or
expulsion. A person shall be disqualified from being an Office-Bearer, a Member
of the Executive/ Managing Committee or the Association’s nominee
/Representative to the BCCI if he or she
a) Is not a citizen of India.
b) Has attained the age of 70 years.
c) Is declared to be insolvent, or of unsound mind.
d) Is a minister or a government servant.
e) Has been an Office-Bearer or Executive Committee
member of the Association for a cumulative period of 9 years.
f) Has been convicted by a court of law for commission of
a criminal offence and sentenced to imprisonment.
An Office-Bearer or an elected member of the Executive
Committee who has held any post for two consecutive terms in the Association
shall not be eligible to contest any further election in Association without
completing a cooling off period of three years. During this cooling off period
such an office bearer or an elected member of the Executive Committee shall not
be a member of the Executive Committee or of any Committee whatsoever of the
Association. The expression ‘Office-Bearer’ should not be permitted to be
circumvented by being a member of any other committee or of the Executive
Committee in the Association, as the case may be.
If a person has served two consecutive terms each as
Office-Bearer/ Executive Member in the Association and as an Office-Bearer or
Councilor in the BCCI (or vice versa) continuously without any break, such
person shall not be eligible to be an Office-Bearer/Executive Member in the
Association or in the BCCI, without completing a cooling off period of three
years. During this cooling off period, such an Office-Bearer/ Executive Member
shall not be a member of the Executive Committee or of any committee whatsoever
of the BCCI or of the Association. The expression ‘Office-Bearer/ Executive
Member’ should not be permitted to be circumvented by being a member of any
other committee or of the Governing Council in BCCI or in the Association, as
the case maybe.
ELECTION OF OFFICE-BEARERS,
MEMBER OF THE EXECUTIVE COMMITTEEAND PANEL OF SELECTORS:
Article - 13
The
eligible Voters of the Association shall elect the following office bearers,
member of the Executive Committee and a Panel of Selectors in the Annual
General Body Meeting called for the purpose. There shall be no proxy voting and all members shall have to vote in
person.
1)
President.
2) Vice-President.
3)
Treasurer.
4)
Joint Secretary.
5)
Honorary Secretary.
6)
One additional Member of the Executive
Committee.
7)
A Panel of Nine members on the
Selection Committee who shall select
the various teams as provided in Article 16.
A person shall be disqualified from being a Selector
of the Association if he/ she has completed five years as a Selector or if he/
she has not retired from the game.
The
Office-bearers, members of the Executive Committee and Members of the Selection
Committee shall hold office for the next three years till the time their Successors are elected. The
Auditors shall also be appointed for the same term.
Article - 14
The Executive Committee shall appoint an Election
Officer for conducting the elections.
The Election Officer shall be a former member of the State Election
Commission. In case such officer is not
available, any other former State Election Commissioner, preferably from a
neighboring State may be appointed as the Election Officer.
The voting shall be by secret ballot. The General
Body may from time to time frame rules of procedure for the elections, provided
that any amendments to the procedure adopted shall be made at least 3 months
prior to the elections. In the absence of any procedure having been framed by
the General Body as aforesaid, the Election Officer will decide the procedure.
The Election Officer shall oversee and supervise the entire election process
including scrutiny of the electoral rolls, which shall include all nominations
and candidatures being subject to his/ her scrutiny. In case of any dispute or
objection as to candidacy, disqualification, eligibility to vote, or the
admission or rejection of a vote in the elections, the Electoral Officer shall
decide the same and such decision shall be final and conclusive.
Article - 15
Every member of the Association and
authorised representative of the affiliated club entitled to vote, shall be
eligible to contest for only one of the posts either in the executive committee
or in the selection committee for which the elections are held.
Article - 16
There shall be a panel of three selectors who shall
be the Senior Selection Committee and shall select the Ranji Trophy team which
shall represent the Association in the
Ranji Trophy tournament as well as the ‘A’ team of the Association. Any
person who has represented the State in first class tournament conducted by the
Board of Control for Cricket in India or a person who is a National level
Umpire as recognized by the Board of Control for Cricket in India, shall be
eligible to contest for the post of a member on the Senior Selection Committee.
Explanation – The ‘A’ team of the Association shall
mean the team specified so by the Board of Control for Cricket in India and/or
the Under-23 team.
There shall be a panel of three Selectors who shall
be the Junior Selection Committee and shall select all the junior teams which
shall represent the Association in the Junior Tournaments organized by the
Board of control for Cricket in India in various categories. Any person who has
represented the State in first class tournament conducted by the Board of
Control for Cricket in India or in any Junior Tournament conducted by the Board
of Control for Cricket in India, shall be eligible to contest for the post of a
member on the Junior Selection Committee.
Explanation – The Junior tournaments would mean the
Under-19, Under-16, Under-14 Tournaments and likewise.
There shall be a panel of three Selectors who shall
be the Women’s Selection Committee and shall select all the Women Teams which
shall participate in the tournaments organized by the Board of Control for
Cricket in India. The Women’s Selection Committee shall comprise only of Women
Candidates who have represented the Association in any format of the game.
The senior most among the members of each selection
committee shall be the Chairperson.
No Person above the age of 70 years shall be
eligible to contest the election as selector.
In case a vacancy arises in the post of a selector
due to any reason the same shall be filled in by the Executive Committee by
appointing an eligible person.
A Selector so appointed shall hold office till the
next elections.
The Selectors shall be paid a suitable remuneration
which shall be decided by the General Body at the time of their
appointment/election.
Article - 17
The
total number of members on the rolls of the Association shall not be more than
1200 at any time. Every year vacancies caused due to a member's death,
resignation, default or disciplinary action, shall be filled in by the
Executive Committee as per the constitutional provisions and norms laid down by
the Executive Committee from time to time.
The
total number of clubs affiliated to the Association shall not be more than 60 at any one time.
Article - 18
DUTIES AND POWERS OF THE
OFFICE BEARERS AND MEMBERS OF THE ΕΧΕCUΤΙVΕ CΟΜΜΙΤΤΕΕ:
(1)
The President shall:
i)
Preside over the Annual General Meeting,
Special General Meeting and the Meetings of the Executive Committee and when
required any other meeting of the committee appointed by the Executive
Committee.
ii)
Supervise the working of the Association to
ensure that it is in accordance with
(a)
The aims and objects of the Association.
(b)
Provisions of the Constitution.
(c)
Decisions of the General Body and
(d)
Decisions of the Executive Committee.
iii)
Authorise the Vice President to work as
acting President whenever he is absent.
(2)
The Vice President shall -
(I) Carry out the functions and duties of the
President
in the absence of the later,
(II) Assist the President in his work.
(3)
The Secretary shall -
(l)
Do such things and take such actions as are necessary to achieve the aims and
objects of the Association.
(II)
Take suitable action or measure to carry out or give effect to the decisions of
the General Body, the Executive Committee or any other body of the Association.
(III)
Appoint, hire or remove the staff of the Association with the prior permission
of the Executive Committee and do such other things as are necessary to ensure
efficient and proper working of the Association, its bodies and its office.
(IV) Guard and protect the interest of the
Association
and its properties.
(V)
Maintain and preserve the books of Accounts of the Association of at least 8
previous financial years.
(VI)
Maintain the Register of Members and Register of
affiliated
Clubs.
(VII)
Write the minutes of the meetings of the Executive Committee, Annual General or
Special General Body Meetings and properly maintain the Minutes Books.
(VIII)
Obtain and hand over to the Treasurer the receipts of payments made by him from
the impress amount.
(IX)
Obtain and hand over to the Treasurer the receipts of payments made by him from
the sanctioned funds other than the interest amount.
(4)
The Joint Secretary shall Assist the Secretary in Carrying out his duties
under the Constitution and Carry them out
in his absence.
(5)
The Treasurer shall
(I) Maintain and preserve the books of
accounts of the Association.
(II) Issue receipts of payment received on
behalf of the Association.
(III) Pay and obtain receipts of payment made
on behalf of the
Association.
(IV)
Get the Accounts of the Association as on 31st March audited before 30th June
or in case of delay, with the permission of the Executive Committee as soon as
possible after 30th June.
(6)
Executive Committee
(l)
The Executive Committee shall meet as often as may be necessary to take
decisions and preferably at
least once in a month. It shall
supervise the working of the Association on behalf of the General Body with a
view to achieve the aims and objects of the Association within the frame Work
of the Constitution.
(II) Sanction expenses for items involving an
amount
of more than Rupees 2500/-.
(III)
The Executive Committee shall appoint Committees for special purposes and shall
frame rules for their proper functioning.
(IV) It shall frame rules and regulations
consistent with the aims and
objects
of the Association and that of the Articles of the Constitution,
for
proper functioning of the Association or its office.
(V) It shall take disciplinary action against
any member of the Executive
Committee,
any Office-Bearer, any member of the Association, any
authorized
representative of an affiliated club or affiliated club under
Article
43 of the Constitution.
Article - 19
All
office bearers and members of the Executive Committee shall be the Managing Committee of the Association.
(I)
All the properties of the Association, movable and immovable, shall west in the
Managing Committee and all
documents relating to and affecting the property of the Association shall be
taken and stand in the name of the Association, and all documents relating to
the properties of the Association shall be executed by the Secretary and Treasurer jointly for
and on behalf of the Association.
(II)
The Secretary and the Treasurer shall execute all Deeds and Contracts on behalf
of the Association only with the permission of the Executive Committee.
(III)
The Association shall sue and be sued only in the name of the Secretary.
Article
– 19 (A)
The day-to-day management of the affairs of the
Association shall vest in a full time Chief Executive Officer to be appointed by
the Executive Committee, who shall be a management professional with management
experience of at least 5 years.
Article - 20
Every member of the Executive Committee and
every other Officer of the Association shall be indemnified out of the funds of
the Association against all losses and expenses incurred in the discharge of
his duties, except such as incurred through
his own Willful negligence or default; each one shall be chargeable only for so
much money or property as he himself has actually received for or in the
discharge of the business of the Association, and each one shall be answerable
only for his own acts, neglects or defaults and not for those of any other
person.
VACANCIES
Article - 21
Except
that of the President, vacancies amongst the other Office-bearers, Members of
the Executive Committee, Selection Committee or any other sub-committee
occurring during the course of the Financial year may be filled by the
Executive Committee by Way of election from amongst the members of the
Executive Committee in the case of Office Bearers and by co-option in other
cases from amongst the members on the roll of the Association. Such vacancies
shall be filled by the Executive Committee as soon as possible. The Vacancy in
the Selection Committee shall be filled up by the Executive Committee by
selecting a person or persons from the
eligible members.
MEETINGS
Article - 22
(I)
All the meetings of the Executive Committee shall generally be held in the premises
of the Association.
(II)
SIX members of the Executive
Committee shall form a quorum of meeting of the Executive Committee. The quorum
for the adjourned meeting shall be four.
(III) The quorum for the meeting of a
Sub-Committee shall be three.
(IV)
The President shall be the Chairman of the Meetings of the Executive Committee
and in his absence the Vice-President shall preside. In the absence of the
President and Vice-President, the Executive Committee shall elect one member to
preside over the meeting, from amongst those members of the Executive Committee
who are present.
(V)
The Secretary shall be convener of the meetings of the Executive Committee and
he shall record Minutes and decisions of the meetings.
(VI)
The President shall also have power to convene the meetings of the Executive
Committee if and when he desires to do so.
(VII)
A notice of the meeting of Executive Committee shall be given to all the
members of the Executive Committee at least 48 hours prior to the time and date
of the meeting.
(VIII)
Five or more members of the
Executive Committee may apply to the President or the Secretary to convene a
meeting of the Executive Committee specifying the Agenda to be taken up for
discussion and decision at the meeting. The President or the Secretary as the
case may be shall convene the meeting within 7 days of the receipt of such a
requisition. If the President or the Secretary fails to convene a meeting
requested for in the requisition within 7 days, the applicant members may
convene a meeting within 7 days from the day on which the meeting should have
been convened by the President or the Secretary. A notice of at least 48 hours
shall be given to all other members of the Executive Committee stating:-
(a)
The facts of the failure on the part of the President or the Secretary to act
on receipt to such requisition.
(b) Agenda and time of the meeting.
(c)
In the case of failure on the part of the President to convene a validity
requisitioned meeting, the members shall elect one of the members of the Executive
Committee to preside over such a meeting in place of the President who shall
not be entitled to preside over even if he is present and participates in such
a meeting. The decisions of such a meeting thus validly Convened Shall be
deemed to be the decisions of the Executive Committee.
(IX)
“All decisions of all meetings whether of the General Body or Executive
Committee shall be taken by Majority. In
the event of a tie the chairperson shall have a casting vote in addition to his
regular vote”.
Article - 23
(I)The Secretary of the Association shall be
the Ex-0fficio Convener of all Selection Committee Meetings having right to
participate in the deliberations but shall have no right to Vote. The Selection
Committee will select the final team. The Chairman of the Cricket
Administration and Development committee shall be an ex-officio member of the
Men’s Selection Committee and shall have a right to participate in the
discussions without a right to vote.
The Chairman of the Women’s Committee shall
be an ex-officio member of the Women’s Selection committee and shall have a
right to participate in the discussions without a right to vote.
RESERVE
FUND
Article - 24
Permanent reserve fund of Rs,85Croresshall be
established and shall be kept separately in the form of suitable long-term
deposits, with the Nationalized Banks or Indian Govt. Agencies. Each year a
minimum percentage, as decided by the
Executive Committee, of the net surplus balance amount shall be
deposited in the Reserve fund at the closing of the year. No withdrawal from
the reserve fund except the interest accrued on that fund shall be made by the
Executive Committee without the previous sanction of the General Body. The
Reserve Fund or a part thereof cannot be utilized unless a resolution to that
effect is passed in a General Body meeting by not less that 3/4 majority of the
total number of members present in that meeting.
OTHER FINANCES
Article - 25
All
funds of the Association except the reserve fund shall be under the control of
the Executive Committee who shall be empowered to spend such sums of money as
they may deem proper for carrying out the aims and objects of the Association.
Article - 26
Books of accounts of the Association shall be
properly maintained by the Treasurer and shall be scrutinized by the Executive
Committee every 3 months.
The
accounts of the Association shall be audited by a qualified Auditor to be
appointed by the General Body. All papers submitted to the Auditor and later on
audited by him shall be preserved for a period of not less than 8 years.
Article – 27
Standing Committees
The Executive committee shall appoint the following Standing
committees for smooth functioning of the Association
a)
Cricket
Administration and Development Committee
To
deal with all Cricketing matters in the Region
All
members of the said committee shall be former players who have represented the
Association in any tournament held by the Board of Control for Cricket in India
b)
Women’s Committee
To
deal with matters regarding women’s Cricket
The
Committee shall not have more than five members out of which three shall be
women.
c)
Umpires Committee
To
deal with umpiring issues including qualifications, eligibility, Posting etc.
Majority
of members of the committee shall be qualified Umpires.
d)
Infrastructure and
Maintenance Committee
For
proper maintenance and development of Infrastructure
e)
Grounds Committee
For
proper maintenance of Grounds of the Association and other grounds in the
Region, Appointment of Curators etc.
The
Curators of grounds belonging to the Association either under ownership or as a
lessee shall be paid a suitable remuneration as shall be decided by the
Executive Committee.
f)
Tournament
Committee
To
decide the fixtures of the various tournaments to be organized by the
Association
Provided that apart from the Standing Committees the
Executive Committee may form other sub-committees for convenience and for other
special purposes.
The tenure of the members of the Standing Committees
shall be one year or till the next Committee is appointed, whichever is
earlier. Provided further that if after the expiry of the term of one year, new
committees are not appointed the earlier standing committees shall continue
till appointment of new committees.
Article - 28
All
documents and papers of contracts relating to the properties of the Association
shall be preserved properly and shall be kept in safe custody by the Secretary
on behalf of the Association. When required, he shall produce those documents
before the Executive Committee or the General Body.
Article - 29
The
Treasurer shall submit the accounts at least once every month to the Executive
Committee for information, review and when required for scrutiny. This practice
shall be strictly followed and failure on the part of the Treasurer to do so
will amount to gross indiscipline.
Article - 30
All
moneys received on behalf of the Association shall be acknowledged only by the
Treasurer and deposited by him within 3 days with the Association Bankers. In
his absence the Secretary may acknowledge any amount received on behalf of the
Association but he will immediately inform the President or in his absence the
Vice-President about such transaction and shall deposit the amount with the
Association Bankers within 48 hours.
Article - 31
An
Impress advance of Rs. 10000–00
shall be placed at the disposal of the Secretary to enable him to meet
incidental and emergent payments. The imprest advance may be raised to Rs. 50,000–00with the sanction of the
Executive Committee for any specified period not exceeding two months and for a
specific purpose.
OTHER MATTERS
Article - 32
The
Secretary shall be in charge of the property of the Association including
correspondence, files, minutes and any playing material belonging to the
Association and shall maintain an inventory of the stock in a regular Stock
book.
Article - 33
Any
member of the Association shall be allowed access to all documents of the
Association except those held by the President to be confidential.
Article - 34
No affiliated club shall arrange fixtures
with any club which is under suspension or has been expelled or has resigned
from the Association in consequence of such suspension or expulsion. No
affiliated club shall participate in any tournament wherein a club under
suspension or expulsion is participating.
Article - 35
No
affiliated club shall participate any tournament arranged within and beyond the
territorial jurisdiction of the Association without prior sanction in Writing
from the Executive Committee unless the tournament is approved or held under
the auspices of the Association.
Article - 36
The
Executive Committee shall have power to arbitrate in all disputed matters
referred to it or otherwise brought to its notice, by a member or anaffiliated
club and its decision shall be final. The Executive Committee will communicate
its decision in writing to the concerned party. An interim decision, if
necessary, shall be given by the Secretary orin his absence by the President,
but the final decision shall rest with the Executive Committee.
Article - 37
The
Executive Committee shall have full power to act on behalf of the Association
in all respects subject to such restrictions as are imposed by the provisions
of the Constitution and such general or specific directions as maybe given by
the General Body.
Article - 38
Any
proposal placed before the Executive Committee and rejected by it may be
brought before a General Body meeting, but if it is also rejected by that body
it shall not be proposed again with in a period of 36 months.
Article - 39
Employees of the Association shall be under
the control of the Secretary for purposes of appointment, leave and discipline,
provided that pay and increments in the pay or payment of gratuity shall be
subject to sanction by the Executive Committee. Any severe disciplinary action
against an employee of the Association shall require prior sanction of the
Executive Committee.
CONSTITUTION AMENDMENT
Article - 40
No rule or article
in the Constitution of the Association shall be amended, altered, added to or
repealed, except by a resolution proposed at the Annual General Meeting Or at a
special General Meeting convened for that purpose wherein at least fifty
percent of the total number of members on the rolls of the Association are present
and the resolution/modifications are passed by 2/3rd majority of those persons
present at the Meeting. Any such amendment will be not be given effect
without the leave of the Hon’ble Supreme Court.
PRIVILEGES - MEMBERS AND
CLUBS
Article - 41
Provided he is otherwise not debarred by any
other Article of this Constitution, every member of the Association shall be
entitled
(I)
To attend, participate and vote at the Annual General Meeting or Special
General Meeting of the General Body.
(II)
Subject to the provisions of the Article 12to contest elections for the post of
office bearer or member of the Executive Committee or Selection Committee.
(III)
To free admission for any Cricket fixture organised by the Association or any
other person on the V.C.A. ground except for the tournaments or fixtures allotted
by the Board of Control for Cricket in India and organised by the Association on
its ground.
Article - 42
Provided that the club is otherwise not
debarred by any other Article of this Constitution, every affiliated club shall
be entitled to:-
(I)
Send one authorised representative to attend, participate and vote at the
Annual General Meeting or Special General Meeting of the Association.
(II)
Subject to provisions of the Article 12 of the Constitution, the authorised
representative is eligible to contest for the post of members of the Executive
Committee and Selection Committee.
(III) Participate in the Tournaments
conducted by the Association.
MISCONDUCT AND DISCIPLINARY
ACTION
Article - 43
(1)
The General Body shall appoint an Ombudsman who shall deal with the misconducts/disputes
which may arise between the members, the Selectors, office bearers, staff,
clubs players, umpires etc, inter se or amongst each other who shall after
conducting an enquiry submit his report to the Executive Committee. The decision
of the Ombudsman shall be final and binding.
The Ombudsman shall be a former
High Court Judge.
(2)
The General Body
shall appoint an Ethics officer who shall deal with matters regarding conflict
of Interest of players, umpires, managing committee members, sub-committee
members, staff, contractors, service providers, etc. The decision of the ethics
officer shall be final and binding.
The Ethics Officer shall be a
former High Court Judge.
Provided that a single person
can also be appointed as an Ombudsman-cum-ethics officer
(3)
The Executive Committee shall have full
powers to take any disciplinary
action against a player or umpire for any misconduct brought to the notice of
the Executive Committee after proper enquiry is held.
Article - 44
A
motion of No-Confidence could be brought against an office bearer/member or
members of the Executive Committee by a requisition signed by not less than
1/6th of the total number of members and affiliated clubs, stating the grounds
for such a motion. The said motion shall be considered by calling a Special
General Body Meeting for that purpose and shall be passed by a majority of not
less than 2/3rd of the Members present at the said meeting.
ASSOCIATION COLOURS
Article - 45
The
Association flag and crest shall be of green color and in the center of which a
yellow Cobra is depicted in a yellow circle.
RECREATION CLUB
Article - 46
The VCA Recreation Club shall be governed by its
Constitution as provided in Annexure I.
Portion of undivided share in land as demarcated in
the map annexed as Annexure II along with all structures standing on it shall
be deemed to be the exclusive property of VCA Recreation Club. An appropriate
lease deed to that effect shall be executed between VCA and VCA Recreation
Club. If at all the Association wishes to utilize those properties then they
shall have to pay a suitable rent to the VCA Recreation Club for use of its
properties.
The First Managing Committee of the VCA Recreation
Club Shall be appointed by the Executive committee subject to the eligibility
criteria provided in the Constitution of VCA Recreation Club and Annexed
herewith as Annexure “I” and thereafter within one month after the constitution
of VCA Recreation Club is adopted and comes into force, the elections of the
new Managing Committee shall be conducted and the whole control of the Club
shall be handed over to the newly elected managing committee.
The General Body of VCA or the Executive committee
shall have no control or governance over the VCA Recreation Club thereafter.
For smooth and Proper functioning of the Club
Vidarbha Cricket Association shall transfer an amount of 30 Crores (Rs, 300000000/-)
as a one time grant. Further all amounts received towards membership fees of
VCA Recreation Club till date shall also be transferred to VCA Recreation Club.
A separate account in the name of VCA Recreation Club shall be opened in a
Nationalized bank wherein the amount shall be transferred.
Vidarbha Cricket Association shall Provide all
financial help necessary to run the Club till the first managing committee of
the Club is elected.
TRANSPERENCY
ARTICLE 47
The Association shall have a website which shall be
updated and maintained quarterly and shall provide for the following.
1)
The constitution,
major decisions of the General Body and Executive Committee
2)
List of members of
the Association
3)
Audited balance
sheets
4)
Details of all
players representing the Association
5)
Sub-committees of
the Association
6)
Names of the
Ombudsman and Ethics Officer
7)
Details of the
measures undertaken for development of Cricket
8)
Advertisements and
Invitations for tenders for supply of Goods and Services exceeding Rs, 1 Crore
along with details of process of award of contract
9)
Details of all
Office bearers and committee members along with managerial staff.
10) Directives received from Board for Control of
Cricket in India
11) Details of the Agent Registration norms applicable
to the Players.
12) Dedicated links to all the stadia in the
jurisdiction of the Association which host international matches, along with
their complete seating capacity, pricing and transparent booking procedures for
all tournaments whether international, domestic or IPL. All sponsor and other
free allotments shall also be disclosed, in no event being more than 10% of the
entire seating capacity in any particular category.
REPEAL AND SAVINGS
ARTICLE 48
The Old constitution shall cease to operate the
field as soon as this constitution comes into force.
All Steps/actions/Projects/appointments validly undertaken/made under the Old Constitution shall be deemed to be valid.
All resolutions passed by the General Body/Executive Committee under the old constitution, which are consistent with the provisions of this constitution shall continue to be binding and shall be strictly followed unless validly reversed.
